The agreement
These Terms of Service apply when you visit a Stay Elite site, create an account, use Eden, join Stay Elite Academy, or use a related Stay Elite service. “Stay Elite,” “we,” and “us” mean Stay Elite Inc. “You” means the person or company using the service.
Your order, statement of work, or other signed agreement may add service details. If a signed agreement and these terms conflict, the signed agreement controls for that service.
What we provide
Eden is an AI office. Adam and Eve are AI agents. They handle the digital work that you authorize, under the rules, prices, and limits that you set. They identify themselves as AI agents and do not claim to be human employees.
The exact modules, onboarding work, Academy access, support, and other services included for you appear in your order or account. We may improve the service while keeping the agreed purpose of your service intact.
Call recording
Calls may be recorded or transcribed where that function applies. We will provide the notices assigned to us in your order. You must provide any notices and obtain any permissions that the law or your own business rules assign to you.
Your data and migration
You keep your rights in the records, files, instructions, and other data that you give us or direct us to collect for you. You give us permission to receive, copy, organize, store, and use that data only as needed to provide, secure, and support your service.
Migration is part of setting up Eden. At your instruction, we extract your business records from the systems or files you name and move them onto our system. You may also upload your own data, including a partial file for a test migration. You confirm that you have the right to give us the data and the access needed to move it.
We use your data to operate your office, not another customer's office. Our Privacy Notice explains the personal data we handle and why.
Our systems and confidential information
Stay Elite owns Eden, Adam and Eve, the service software, the service design, and the proprietary information that explains how the agents work. Your right to use the service does not transfer ownership of those materials to you.
You can access your own data and the settings made available for your account. You do not receive our prompts, routing logic, internal tools, system instructions, knowledge materials, or other proprietary system information. You must not try to obtain, copy, bypass, or expose them.
Each side must protect the other side's non-public business information and use it only for the service. This duty does not cover information that becomes public without a breach, was already lawfully known, is received lawfully from another source, or must be disclosed by law.
Your responsibilities
You agree to:
- give accurate account, business, pricing, and operating information;
- keep account access secure and tell us promptly about unauthorized use;
- review and approve the rules and limits that govern your office;
- use the service only for lawful business purposes;
- respect privacy, communications, recording, consumer, and industry rules that apply to your work; and
- keep a lawful right to all data, content, phone lines, accounts, and systems that you ask us to use.
You must not use the service to deceive, harass, discriminate, send unlawful communications, introduce harmful code, gain unauthorized access, or violate another person's rights.
Fees and service changes
The fees, billing schedule, included services, and any special commercial terms for your account appear in your order. You must pay valid invoices when due. Taxes are added where the law requires them.
We may suspend access when an account creates a security risk, breaks the law, materially breaches these terms, or has an overdue amount. When practical, we will give notice and a chance to correct the problem first.
Important limits
No professional advice
Stay Elite, Eden, Adam, Eve, and Academy content do not provide legal or clinical advice. “Clinical” means advice about medical or mental health care. You must use a qualified professional for those decisions.
The service boundary
Eden performs digital office work. It does not perform physical work. You remain responsible for the work done at a property, job site, clinic, office, or other physical place.
Service warranties
We will provide the service with reasonable care. Digital and communications services can still be interrupted or contain errors. To the extent the law permits, we do not make promises that are not written in these terms or your signed agreement.
Nothing in these terms limits a right or responsibility that the law does not allow either side to limit.
Ending service and other legal terms
Your order states when the service starts and how either side may end it. Terms that must continue by their nature remain in effect, including payment duties, ownership, confidentiality, and lawful limits of responsibility.
If one part of these terms cannot be enforced, the rest still applies. A delay in enforcing a term does not waive it. You may not transfer your agreement without our written consent. We may transfer it as part of a merger, sale, or reorganization of the business.
